Terms of Service

Last updated: October 10, 2026

These Terms of Service ("Terms") govern access to and use of Mersuit, a platform that helps property businesses manage their portfolios, the people they serve, and the records that flow between them (the "Service"), operated by Mersuit ("Mersuit", "we", "us", or "our"). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

1. The Service

Mersuit is an operations platform for property businesses. It provides one accountable system for the records a property business runs on. The Service is provided on an evolving basis — features may be added, changed, or removed, and we will use reasonable efforts to communicate material changes that affect how you use data already in the Service.

2. Accounts and eligibility

  • You must be at least 18 years old and able to form a binding contract to create an account.
  • You must provide accurate registration information and keep it up to date.
  • You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at support@mersuit.com if you suspect unauthorized use.
  • Additional accounts within an organization are created by invitation and are assigned a role that determines what each account can see and do, as described in our Privacy Policy.

3. Your data and responsibility for it

You retain ownership of the data you or your organization enters into the Service (the "Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you. You are solely responsible for:

  • the accuracy of the data you enter, including any financial or other records;
  • having a lawful basis to collect and enter personal data about your tenants, including any notice or consent required by law in your jurisdiction; and
  • who within your organization you invite, and the role you assign them — the Service enforces the permissions of the role you choose, but the decision to grant a role is yours.

4. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or to store or process data you do not have the right to store or process;
  • attempt to gain unauthorized access to another organization's data or to any account, system, or network related to the Service;
  • interfere with or disrupt the integrity or performance of the Service, including through automated scraping, load testing, or vulnerability probing without our prior written consent;
  • reverse engineer, decompile, or attempt to derive the source code, workflows, business rules, or design of the Service, except where applicable law permits it despite this restriction;
  • use the Service, its output, or any documentation to build a product or service that reproduces or competes with the Service;
  • resell, sublicense, or provide the Service to third parties as a bureau or outsourced service without our prior written agreement.

5. Fees

Where the Service is offered under a paid plan, the applicable fees, billing period, and payment terms will be communicated to you separately (for example, in an order form or plan-selection page) before you are charged. Nothing in these Terms authorizes a charge you have not separately agreed to.

6. Intellectual property

The Service, including its software, design, and branding, is owned by Mersuit and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our name, logo, or trademarks without our prior written consent. Except for the limited right to use the Service as described here, we reserve all rights not expressly granted.

7. Confidentiality

Each party agrees to protect the other's non-public information disclosed in connection with the Service with the same degree of care it uses for its own confidential information of a similar nature, and not less than reasonable care, and to use it only as needed to perform under these Terms.

8. Availability and support

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not permitted by applicable law.

9. Limitation of liability

To the maximum extent permitted by applicable law, Mersuit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or, if you have not paid us anything, one hundred US dollars (USD 100).

10. Indemnification

You agree to indemnify and hold Mersuit harmless from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or related to: your use of the Service in violation of these Terms; Customer Data you enter, including any failure to have a lawful basis for collecting personal data about your tenants; or your violation of any law or the rights of a third party.

11. Termination

You may stop using the Service and request account closure at any time by contacting support@mersuit.com. We may suspend or terminate access to the Service if you materially breach these Terms and do not cure the breach within a reasonable time after notice, if required by law, or to protect the security or integrity of the Service. On termination, your right to use the Service ends; our data-retention and deletion practices are described in our Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify account holders by email or through the Service. Continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Bangladesh, unless applicable law requires otherwise.

14. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mersuit regarding the Service and supersede any prior agreements on this subject. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
